1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Sucetas Technologies ("Company," "we," "our," or "us"), a private limited company incorporated under the laws of India with its registered office at 2nd Floor College House, 17 King Edwards Road, Ruislip, London, HA4 7AE, India.

By accessing our website (https://sucetastech.com), engaging our services, or entering into any agreement with us, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please discontinue use of our services immediately.

Legal Binding: These Terms create a legally enforceable contract. Your continued use of our services constitutes ongoing acceptance of any updates to these Terms.

3. Eligibility

Individual Users

  • Must be at least 18 years of age
  • Must have legal capacity to enter into contracts
  • Must provide accurate and truthful information
  • Must not be prohibited from receiving services under applicable laws

Corporate Users

  • Must be a legally registered business entity
  • Authorized representative must have power to bind the organization
  • Must be in good standing with applicable regulatory authorities
  • Must comply with all applicable business licensing requirements

Verification Requirements

We reserve the right to verify your eligibility and may request additional documentation including but not limited to government-issued identification, business registration certificates, or other relevant credentials.

4. Account Registration

Account Creation

When creating an account or engaging our services, you must provide complete, accurate, and current information. You are responsible for:

  • Maintaining the accuracy of your account information
  • Safeguarding your login credentials
  • Notifying us immediately of any unauthorized access
  • Taking responsibility for all activities under your account
  • Using a secure password and enabling two-factor authentication when available

Account Security

Security Notice: You are solely responsible for maintaining the confidentiality of your account credentials. We are not liable for any loss or damage arising from your failure to protect your account information.

5. User Responsibilities

As a user of our services, you agree to:

Legal & Compliance

  • Report any security incidents immediately

Project Collaboration

Successful project delivery requires active collaboration. You commit to:

  • Providing clear project requirements and specifications
  • Making key personnel available for meetings and consultations
  • Providing timely feedback on deliverables and milestones
  • Supplying necessary content, data, and resources
  • Participating in testing and quality assurance processes
  • Attending scheduled training sessions and handover meetings

6. Prohibited Uses

You may not use our services for any of the following prohibited purposes:

Illegal Activities

  • Any unlawful purpose or to solicit unlawful activity
  • Violating international, federal, state, or local regulations
  • Money laundering, fraud, or other financial crimes
  • Creating, distributing, or facilitating malware or viruses

Harmful Content

  • Harassment, abuse, discrimination, or hate speech
  • Content that promotes violence or illegal activities
  • Adult content, gambling, or other age-restricted material
  • False, misleading, or defamatory information

Technical Violations

  • Unauthorized access to systems or data
  • Circumventing security measures or access controls
  • Reverse engineering or attempting to copy our solutions
  • Interfering with the proper functioning of our services

Intellectual Property Violations

  • Infringing upon copyrights, trademarks, or patents
  • Using our intellectual property without permission
  • Creating derivative works without authorization
  • Misrepresenting ownership of intellectual property

Scope Management

  • All projects begin with a detailed Statement of Work (SOW)
  • Scope changes require written approval and may incur additional costs
  • Timeline adjustments will be communicated promptly
  • Regular progress reviews and milestone confirmations

Quality Assurance

We maintain rigorous quality standards throughout project delivery, including code reviews, testing protocols, documentation standards, and client approval processes at key milestones.

8. Payment Terms

Fees and Pricing

  • All fees are quoted in Indian Rupees (INR) unless otherwise specified
  • Pricing is based on project scope, complexity, and timeline
  • Fixed-price and time-and-materials models available
  • Rush delivery may incur additional charges (typically 25-50% premium)
  • Quotes are valid for 30 days unless otherwise specified

Payment Schedule

25-50% advance payment

Milestone Payments:

Progress-based installments

Final Payment:

Upon project completion

Payment Terms

  • Payment due within 30 days of invoice date unless otherwise agreed
  • Late payments incur interest charges at 18% per annum (1.5% per month)
  • Work may be suspended for accounts overdue by more than 15 days
  • Collection costs and legal fees are the client's responsibility
  • No refunds for completed work unless specified in writing

Taxes and Additional Charges

  • All applicable taxes (GST, TDS, etc.) are additional to quoted prices
  • International clients are responsible for any applicable duties or taxes
  • Currency conversion charges, if applicable, are borne by the client
  • Payment processing fees may apply for certain payment methods

9. Intellectual Property Rights

Our Intellectual Property

All content, technology, software, designs, methodologies, and materials developed by Sucetas Technologies remain our exclusive intellectual property, including but not limited to:

  • Proprietary software frameworks and libraries
  • Development methodologies and best practices
  • AI models, algorithms, and training data
  • Documentation templates and processes
  • Branding, logos, and marketing materials
  • Website content and design elements

Client-Provided Materials

You retain full ownership of all content, data, and materials provided to us for your project. By providing materials, you grant us a limited, non-exclusive license to use them solely for delivering your services.

Work Product and Deliverables

Client Ownership

Upon full payment, you receive complete ownership rights to custom-developed software, applications, and specific deliverables created exclusively for your project.

Retained Rights

We retain rights to:

  • General knowledge, skills, and experience gained
  • Reusable code components and frameworks
  • Development methodologies and processes
  • Anonymized performance and usage analytics

Third-Party Components

Solutions may incorporate third-party software, libraries, or services subject to their respective licenses. We ensure all third-party components are properly licensed and will provide documentation of any licensing requirements or restrictions.

10. Confidentiality

Mutual Confidentiality

Both parties acknowledge that during the course of our relationship, confidential information may be disclosed. We maintain strict confidentiality regarding:

  • Business strategies, processes, and proprietary information
  • Technical specifications, source code, and system architectures
  • Financial information, pricing, and commercial terms
  • Customer data, user information, and personal details
  • Trade secrets, algorithms, and competitive advantages
  • Project details, timelines, and implementation strategies

Data Protection Measures

  • • End-to-end encryption for data transmission
  • • Secure development environments
  • • Regular security audits and penetration testing
  • • Access control and authentication systems
  • • Secure backup and disaster recovery
Administrative Controls
  • • Employee confidentiality agreements

  • • Incident response procedures
  • • Third-party vendor assessments

Permitted Disclosures

Confidential information may be disclosed only in the following circumstances:

  • With your express written consent
  • When required by law, court order, or regulatory authority
  • To defend our legal rights in disputes or litigation
  • To authorized subcontractors under strict confidentiality obligations
  • Information that becomes publicly available through no breach by us

Duration of Confidentiality

Confidentiality obligations survive termination of our services and remain in effect for a period of 5 years after the conclusion of our business relationship, unless otherwise specified in a separate agreement.

11. Warranties & Disclaimers

  • Performance issues due to insufficient system resources
  • Changes in requirements or specifications after delivery
  • Integration issues with systems not part of our scope

General Disclaimers

DISCLAIMER: EXCEPT AS EXPRESSLY SET FORTH HEREIN, ALL SERVICES AND DELIVERABLES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

12. Limitation of Liability

IMPORTANT LIABILITY LIMITATIONS

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SUCETAS TECHNOLOGIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Specific Limitations

  • Maximum Liability: Our total liability shall not exceed the total amount paid by you for services in the 12 months preceding the claim
  • Time Limitation: Claims must be brought within 12 months of the event giving rise to the claim
  • Business Interruption: No liability for lost business, revenue, or profits
  • Data Loss: Limited liability for data loss or corruption (backup restoration only)
  • Third-Party Claims: No liability for third-party software or service failures

Exceptions to Limitations

These limitations do not apply to liability for death or personal injury caused by our negligence, fraud, willful misconduct, or other liability that cannot be excluded under applicable law.
