- False, misleading, or defamatory information
Technical Violations
- Unauthorized access to systems or data
- Circumventing security measures or access controls
- Reverse engineering or attempting to copy our solutions
- Interfering with the proper functioning of our services
Intellectual Property Violations

8. Payment Terms
Fees and Pricing
- All fees are quoted in Indian Rupees (INR) unless otherwise specified
- Pricing is based on project scope, complexity, and timeline
- Fixed-price and time-and-materials models available
- Rush delivery may incur additional charges (typically 25-50% premium)
- Quotes are valid for 30 days unless otherwise specified
Payment Schedule

25-50% advance payment
Progress-based installments
Upon project completion
Payment Terms
- Payment due within 30 days of invoice date unless otherwise agreed
- Late payments incur interest charges at 18% per annum (1.5% per month)
- Work may be suspended for accounts overdue by more than 15 days
- Collection costs and legal fees are the client's responsibility
- No refunds for completed work unless specified in writing

9. Intellectual Property Rights
Our Intellectual Property
All content, technology, software, designs, methodologies, and materials developed by Sucetas Technologies remain our exclusive intellectual property, including but not limited to:
- Proprietary software frameworks and libraries
- Development methodologies and best practices
- AI models, algorithms, and training data
- Documentation templates and processes
- Branding, logos, and marketing materials
- Website content and design elements
Client-Provided Materials
You retain full ownership of all content, data, and materials provided to us for your project. By providing materials, you grant us a limited, non-exclusive license to use them solely for delivering your services.
Work Product and Deliverables
Client Ownership
Upon full payment, you receive complete ownership rights to custom-developed software, applications, and specific deliverables created exclusively for your project.
Retained Rights
We retain rights to:
- General knowledge, skills, and experience gained
- Reusable code components and frameworks
- Development methodologies and processes
- Anonymized performance and usage analytics
Third-Party Components
Solutions may incorporate third-party software, libraries, or services subject to their respective licenses. We ensure all third-party components are properly licensed and will provide documentation of any licensing requirements or restrictions.
10. Confidentiality
Mutual Confidentiality
Both parties acknowledge that during the course of our relationship, confidential information may be disclosed. We maintain strict confidentiality regarding:
- Business strategies, processes, and proprietary information
- Technical specifications, source code, and system architectures
- Financial information, pricing, and commercial terms
- Customer data, user information, and personal details
- Trade secrets, algorithms, and competitive advantages
- Project details, timelines, and implementation strategies

Duration of Confidentiality

DISCLAIMER: EXCEPT AS EXPRESSLY SET FORTH HEREIN, ALL SERVICES AND DELIVERABLES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.
12. Limitation of Liability
IMPORTANT LIABILITY LIMITATIONS
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SUCETAS TECHNOLOGIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
Specific Limitations
- Maximum Liability: Our total liability shall not exceed the total amount paid by you for services in the 12 months preceding the claim
- Time Limitation: Claims must be brought within 12 months of the event giving rise to the claim
- Business Interruption: No liability for lost business, revenue, or profits
- Data Loss: Limited liability for data loss or corruption (backup restoration only)
- Third-Party Claims: No liability for third-party software or service failures
Exceptions to Limitations
These limitations do not apply to liability for death or personal injury caused by our negligence, fraud, willful misconduct, or other liability that cannot be excluded under applicable law.
